All members were in favor, motion carded. <br /> <br />AUTHORITY BUSINESS <br /> <br />Public Hearing - New Application - The Noodle Shop Co - Colorado, Inc., d/b/a <br />Noodles& Company -Hotel & Restaurant Liquor License - 1100 W. Dillon Road, Unit <br /> <br />Authority Chairperson Myers opened the public hearing on the application for a Hotel and <br />Restaurant Liquor License at 1100 West Dillon Road, Unit D, under the business name of <br />Noodles & Company. <br /> <br />Deputy City Clerk Bolte stated that the application is for a Hotel and Restaurant.Liquor License <br />and that copies of the entire application were provided to each Authority member. Fingerprint <br />reports for the Individual History Records submitted by the applicant are already on file with the <br />state. Public notice of thi~ heating has been posted and published in accordance with state law. <br />The Deputy City Clerk reported that based upon the information received so far from the <br />applicant, she was not aware of any reason that would require the Authority to deny the <br />application. However, additional Individual History Records still need to be submitted. The <br />Authority Attorney will explain this in more detail. ... <br /> <br />Authority Attorney Kelly stated by way of background, the applicant The Noodle Shop Co. <br />Colorado, Inc. is a wholly owned subsidiary of The Noodle Shop Co., Inc. The state statutes <br />require that this Authority determine whether the proposed holder of a liquor license is of good <br />moral character. In the case of a corporation, the criteria to be of good moral character extends <br />to officers, directors, and stockholders holding 10% or-more of the outstanding and issued capital <br />stock. <br /> <br />Kelly continued that based upon the information provided by the applicant, The Noodle' Shop <br />Co., Inc., holds 100% of the Outstanding and issued capital stock of The Noodle Shop Co. - <br />Colorado, Inc.;the applicant before the Authority this evening. Therefore, this Authority must <br />determine whether~the officers, directors and stockholders holding 10% or more of the_parent <br />corporation, The Noodle Shop Co., Inc., are of good moral character as a part of the licensing <br />process. <br /> <br />2 <br /> <br /> <br />
