DocuSign Envelope ID: 4FDA64E9-3965-4B3C-94D5-6B25463CD019 FIRST AMENDMENT TO INTERGOVERNMENTAL AGREEMENT Highway 42 Multimodal Infrastructure Improvements This First Amendment to Intergovernmental Agreement ("Amendment") by and between the County of Boulder, a body politic and corporate of the State of Colorado (hereinafter referred to as the "County") and the City of Louisville, a Colorado municipal corporation (hereinafter referred to as the "City") (each a "Party" and together, the "Parties") is made effective on the 2nd day of November , 2020. WHEREAS, the Parties entered into that certain Intergovernmental Agreement concerning Highway 42 Multimodal Infrastructure Improvements, dated May 7, 2019 (the "IGA"), for the purpose funding certain improvements to State Highway 42, a state highway running through the City and contributing to countywide multimodal mobility; and WHEREAS, the Parties wish to amend the IGA to increase the not to exceed amount for the Underpass Improvements. NOW THEREFORE, in consideration of the above and the mutual covenants and commitments made herein, the Parties agree as follows: Section 1. Section A(5) of the IGA is amended to increase the not to exceed amount for the Underpass Improvements from $850,000 to $1,000,000. Section 2. The IGA, as amended by this Amendment, is hereby ratified and confirmed and shall remain in full force and effect and binding upon the Parties in accordance with its terms. Capitalized terms not defined herein shall have the meaning set forth in the IGA. IN WITNESS WHEREOF, the parties have entered into this First Amendment to Intergovernmental Agreement, to be effective on the date first provided above.
