DocuSign Envelope ID: 4FDA64E9-3965-4B3C-94D5-6B25463CD019 <br />DocuSign Envelope ID: 0040F8BC-4F2A-4A3E-8DE6-1 DF813D71361613 <br />INTERGOVERNMENTAL AGREEMENT <br />Highway 42 Multimodal Infrastructure Improvements <br />This Intergovernmental Agreement ("Agreement") by and between the County of <br />Boulder, a body politic and corporate of the State of Colorado (hereinafter referred to as the <br />"County") and the City of Louisville, a Colorado municipal corporation (hereinafter referred to <br />as the "City") (each a "Party" and together, the "Parties") is made effective on the _;A�ay of <br />2019. <br />CIEREAS, State Highway 42 ("SH42") is a state highway running through the City that <br />contributes to countywide multimodal mobility; and <br />WHEREAS, the construction of new developments and future developments creates a <br />need for safety improvements for vehicular and pedestrian travel on and across SH42; and <br />WHEREAS, Part 2 of Article 1 of Title 29, C.R.S., as amended, permits governments to <br />make the most efficient and effective use of their powers and responsibilities by cooperating and <br />contracting with other governments; and <br />WHEREAS, the 0.10% County -wide sales tax approved by the voters of Boulder County <br />on November 4, 2007, provides for the design and construction of SH42 Improvements assuming <br />a match by the Colorado Department of Transportation ("CDOT") and funding by the City; and <br />WHEREAS, the Parties wish to contribute to construction of three separate projects along <br />SH42. These include intersection improvements at the intersection of SH42 and Short Street <br />("Intersection Improvements"); a new pedestrian underpass under SH42 north of Hecla Drive <br />and south of Summit View Drive ("Underpass Improvements"); and road improvements to SH42 <br />between Short Street and Pine Street ("Road Improvements") (collectively, the "Improvements"); <br />and <br />WHEREAS, the City has secured $500,000 in State Funding to the construction of the <br />Intersection Improvements, and shall pursue similar funding for construction of both the <br />Underpass Improvements and the Road Improvements; and <br />WHEREAS, the Parties wish to set forth in writing the terms and conditions regarding <br />management of and payment for construction of the Improvements, as set forth herein. <br />NOW THEREFORE, in consideration of the above and the mutual covenants and <br />commitments made herein, the Parties agree as follows: <br />A. PROJECT SCOPE, DESCRIPTION AND RESPONSIBILITIES. <br />1.
