B. Louisville Public Library Director, Sharon Nemeclnek is designated as the Library Project Coordinator. The Project Coordinator shall be the Library representative in connection with BVSD's performance raider, and is fully authorized to act on behalf of the. City and the Library in connection with, this MOU. 8. Expenses. Expenses incurred by either Party in connection with this MOU will be the responsibility of that Party, 9. Termination for Convenience, This MOU may be terminated by either Party for its convenience and without cause of any nature by giving the other Party no less than thirty days written notice of such termination. 10. Indemnification/Liability. No term or condition of this MOU shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, or other protections provided the City, the Library or BVSD under the provisions of the Colorado Governmental Immunity Act, §§ 24-72-101 et seg., C.R.S., as amended ("Act"). The Parties understand and agree that liability for claims for injuries to persons or property arising out of the negligence of the City, the Library or B VSD and their officers, agents or employees is controlled and limited by the provisions of the Act. 11. Miscellaneous Provisions. A. Appropriation. Nothing herein shall constitute a multiple fiscal year obligation pursuant to Colorado Constitution Article X, Section 20. Notwithstanding any other provision of this MOU, the financial obligations of each Party under this MOU are subject to annual appropriation by the governing body of such Party. B. Independent Contractor, The Parties are independent contractors. Each Party shall supply all personnel, equipment, materials and supplies at its own expense, except as specifically set forth herein. Neither Party shall be deemed to be, nor shall it represent itself as, an employee, partner, or joint venturer of the other. No employee or officer of either Party shall supervise the other. C. Governing Law. This MOU shall be governed by the laws of the State of Colorado and the rules and regulations issued pursuant thereto. Any provision included in this MOU which conflicts with said laws, rules, and regulations shall be null and void, any provision of the MOU rendered null and void by the operation of this provision shall not invalidate the remainder of the MOU, to the extent capable of execution. The Parties agree to comply with laws applicable to discrimination and unfair employment practices in effect or hereafter established. Venue shall be in the County of Boulder or the federal courts for the U.S. District Court for the District of Colorado. D. Notices. Arty notices required hereunder shall be sent by certified mail, electronic mail, or hand -delivered to the Parties at the following addresses, unless a Party notifies the other Party in writing that such contact or address has changed. 3
