LSAB Bylaws Proposed Revisions and Considerations Discussion Item — May 18, 2022 Proposed revisions of the LSAB bylaw on the Board's chair (Article III: Officers and Personnel, Section 1: Officers and Section 5: Officers' Service Schedule). Current language of Section 1 Board members shall share responsibility for conducting the business of the Board. The Officers of the Board shall be a Chair, and a Secretary. These positions shall rotate Monthly through the membership, such that all members have the opportunity to serve in each role, and no single member shall dominate either role. Proposed revised language of Section 1 Board members shall share responsibility for conducting the business of the Board. The officers of the Board shall be a Chair and a Secretary. The Chair shall serve for the duration of one calendar year to provide continuity of leadership and programming for that year. The Secretary shall rotate monthly through the membership such that all members have the opportunity to serve as Secretary and no single member shall dominate the position of Secretary. Current language of Section 5 The Monthly Schedule for Members to serve as Officers of the Board shall be determined annually by the Board at its first meeting of each calendar year. In the event of the absence of the scheduled Chair or Secretary from a meeting of the Board, the Members Present shall designate some other member of the Board to perform the duties of the Chair/Secretary for that meeting. Proposed revised language of Section 5 The Chair shall be elected annually by the Board at its last meeting of each calendar year by a simple majority vote of the Board members. The monthly schedule for members to serve as Secretary shall be determined annually by the Board at its last meeting of each calendar year. In the event of the absence of the Chair or the scheduled Secretary from a meeting of the Board, the members present shall designate some other member of the Board to perform the duties of the Chair or the Secretary for that meeting.
