Except as provided herein, all defined terms in this <br />Amendment shall have the same meanings as provided in the <br />Louisville/County IGA. <br />AGREEMENT <br />NOW, THEREFORE for good and valuable consideration, the <br />receipt and sufficiency of which are hereby acknowledged, the <br />County and Louisville agree to amend the Louisville/County IGA as <br />follows: <br />1. PHA Funding/Timing. PHA anticipates receiving proceeds <br />of its first bond financing for the Northwest Parkway at the end <br />of June, 2001. PHA anticipates closing on the open space and <br />Northwest Parkway conveyances under the PHA Open Space IGA when <br />surveying is complete, which is anticipated to be in July or <br />August, 2001. Louisville and County agree to convey to each <br />other the instruments described below at the time that PHA is <br />ready to close on the Northwest Parkway open space conveyances <br />under the PHA Open Space IGA. <br />2. Closing. At the closing, and provided that all payments <br />have been made by Louisville to County as provided in Paragraph 3 <br />of the Louisville/County IGA, and all payments have been made by <br />PHA as provided in Section 4.3 of the Northwest Parkway I.G.A., <br />County and Louisville shall exchange the following documents: <br />a. Conveyances from Louisville to County. Louisville will <br />provide County with a special warranty deed for the portion of <br />the New Alignment Parcel contained in Trillium Parcel 1, Trillium <br />Parcel 2 and Trillium Parcel 3. <br />b. Final Conveyances. Louisville and County shall complete <br />the final conveyances provided in Paragraph 3 of the <br />Louisville/County IGA. The deeds and conservation easements <br />shall use the legal descriptions for the Trillium Property and <br />the BCLV Property excluding the New Alignment Parcel, and <br />including the portion of the Original Alignment Parcel which is <br />not a part of the New Alignment Parcel. <br />c. Conservation Easements. Louisville and County shall <br />execute the following instruments for exchange: <br />i. Termination(s) of the Original Conservation <br />Easements for Trillium Parcels 1, 2, 3 and 4. <br />ii. New conservation easements in gross for Trillium <br />
