A portion of the Properties was conveyed to the City of Broomfield for right-of-way for the Northwest Parkway by deed recorded September 10, 1999 recorded at Reception No.1979975 (the "Original Alignment Parcel"). The Original Alignment Parcel is legally described on Exhibit A, attached hereto and by this reference made a part of this Amendment. It was the intention of the parties that the Original Alignment Parcel would contain the alignment for the proposed Northwest Parkway, and that the remainder of the Properties would be maintained as open space, subject to certain contingencies provided in the Louisville/County IGA. F. The alignment for the Northwest Parkway was modified in the Intergovernmental Agreement Amending the Southeast Boulder County, South 96t' Street, Dillon Road, and U.S. 287 Comprehensive Development Plan Intergovernmental Agreement dated January 16, 2001, among the City of Broomfield, the City of Lafayette, Louisville, the County, and the Northwest Parkway Public Highway Authority (the "PHA"). The new alignment runs through a portion of Trillium Parcels 1, 2, 3 and 4 and through the BCLV Property. The new alignment for the Northwest Parkway (the "New Alignment Parcel") is also described in the Intergovernmental Agreement Boulder County & Northwest Parkway PHA Open Space & Right -of -Way Acquisition dated and recorded on at Reception No. (the "PHA Open Space IGA"). The New Alignment Parcel is shown on Exhibit B, attached hereto and by this reference made a part of this Amendment. The surveyed legal description has not yet been completed. G. The parties desire to amend the Louisville/County IGA to provide that the tracts of land included within the New Alignment Parcel will be conveyed by the County to the PHA in accordance with the terms of the PHA Open Space IGA. In order to do that, Louisville desires to reconvey to County those portions of Trillium Parcels 1, 2 and 3 which contain tracts of the New Alignment Parcel, provided that, in return, Louisville shall receive from the County, after conveyance by the City of Broomfield or its successor, those portions of Trillium Parcels 1, 2 and 3 (and Trillium Parcel 4 and the BCLV Property, after payments in accordance with the Louisville/County IGA) which were part of the Original Alignment Parcel, but are not contained in the New Alignment Parcel. H. The Parties also wish to terminate the Original Conservation Easements to release the New Alignment Parcel from the Conservation Easements and to allow the conveyances to the PHA, and execute new conservation easements in gross to encumber
