A portion of the Properties was conveyed to the City of <br />Broomfield for right-of-way for the Northwest Parkway by deed <br />recorded September 10, 1999 recorded at Reception No.1979975 (the <br />"Original Alignment Parcel"). The Original Alignment Parcel is <br />legally described on Exhibit A, attached hereto and by this <br />reference made a part of this Amendment. It was the intention of <br />the parties that the Original Alignment Parcel would contain the <br />alignment for the proposed Northwest Parkway, and that the <br />remainder of the Properties would be maintained as open space, <br />subject to certain contingencies provided in the <br />Louisville/County IGA. <br />F. The alignment for the Northwest Parkway was modified in <br />the Intergovernmental Agreement Amending the Southeast Boulder <br />County, South 96t' Street, Dillon Road, and U.S. 287 <br />Comprehensive Development Plan Intergovernmental Agreement dated <br />January 16, 2001, among the City of Broomfield, the City of <br />Lafayette, Louisville, the County, and the Northwest Parkway <br />Public Highway Authority (the "PHA"). The new alignment runs <br />through a portion of Trillium Parcels 1, 2, 3 and 4 and through <br />the BCLV Property. The new alignment for the Northwest Parkway <br />(the "New Alignment Parcel") is also described in the <br />Intergovernmental Agreement Boulder County & Northwest Parkway <br />PHA Open Space & Right -of -Way Acquisition dated and <br />recorded on at Reception No. (the "PHA <br />Open Space IGA"). The New Alignment Parcel is shown on Exhibit <br />B, attached hereto and by this reference made a part of this <br />Amendment. The surveyed legal description has not yet been <br />completed. <br />G. The parties desire to amend the Louisville/County IGA to <br />provide that the tracts of land included within the New Alignment <br />Parcel will be conveyed by the County to the PHA in accordance <br />with the terms of the PHA Open Space IGA. In order to do that, <br />Louisville desires to reconvey to County those portions of <br />Trillium Parcels 1, 2 and 3 which contain tracts of the New <br />Alignment Parcel, provided that, in return, Louisville shall <br />receive from the County, after conveyance by the City of <br />Broomfield or its successor, those portions of Trillium Parcels <br />1, 2 and 3 (and Trillium Parcel 4 and the BCLV Property, after <br />payments in accordance with the Louisville/County IGA) which were <br />part of the Original Alignment Parcel, but are not contained in <br />the New Alignment Parcel. <br />H. The Parties also wish to terminate the Original <br />Conservation Easements to release the New Alignment Parcel from <br />the Conservation Easements and to allow the conveyances to the <br />PHA, and execute new conservation easements in gross to encumber <br />
