XCEL ENERGY PARTNERS IN ENERGY Memorandum of Understanding Plan Development Phase Resource Commitment Summary rian ueveioprneni rnase Louisville • A single contact point to lead • One presentation to LSAB participation of the community in Support to recruit the stakeholder this planning process group • Provision of meeting spaces to hold in -person stakeholder group workshops • Integration of existing community and/or regional plans, programs, or initiatives to ensure alignment across efforts • Commitment to ensuring community engagement throughout the planning process • Good -faith evaluation of the recommendations and analysis provided, including presentation to Council for feedback • Coordination of timely review of the Plan document, including presentation to Council for approval • Public distribution of the work products developed • Establishment of a decarbonization baseline • Professional facilitation of up to 4 plan development workshops • Support for integrating Community Decarbonization Plan with comprehensive plan • Modeling for 2 scenarios to inform strategy selection • Preparation of one presentation to Council at 50% of project completion • Professional facilitation of up to 4 virtual focus groups/key informant interviews, including online meeting platform to host interviews. • Development of the documented Plan • Preparation of one presentation to Council at 100% of project completion The Memorandum of Understanding for the Implementation Phase of Partners in Energy will be developed upon completion of the Decarbonization Plan and will outline the City of Louisville's goals and the resource commitment anticipated from Xcel Energy and the City of Louisville. Legal Applicability and Waiver This is a voluntary agreement and not intended to be legally binding for either party. This Memorandum of Understanding has no impact, nor does it alter or modify any existing Franchise Agreement or other existing agreements between Xcel Energy and the City of Louisville. Parties agree that this Memorandum of Understanding is to memorialize the intent of the Parties regarding Partners in Energy but does not create a legal agreement between the Parties. It is agreed by the Parties that nothing in this Memorandum of Understanding will be deemed or construed as creating a joint venture, trust, partnership, or any other legal relationship among the Parties. This Memorandum of Understanding is for the benefit of the Parties and does not create third party rights. Nothing in this Memorandum of Understanding 3
