RESOLUTION NO. 77 <br />SERIES 2023 <br />A RESOLUTION APPROVING AN INTERGOVERNMENTAL AGREEMENT WITH THE <br />TOWN OF ESTES PARK REGARDING THE SHARING OF A LICENSE FOR A PUBLIC <br />WORKS COMPUTERIZED MAINTENANCE MANAGEMENT SERVICE <br />WHEREAS, the City of Louisville ("City" or "Louisville") holds a license from Lucity, <br />Inc. (the "Company") for use of the Company's public works computerized maintenance <br />management service; and <br />WHEREAS, the Company is willing to offer the Town of Estes Park ("Estes Park") <br />sublicense status under Louisville's license; and <br />WHEREAS, there has been prepared an intergovernmental agreement (the "IGA") <br />to set forth Louisville's and Estes Park's respective rights and obligations, including the <br />sharing of costs, with respect to the license; and <br />WHEREAS, by this resolution the City Council desires to approve and authorize the <br />Mayor to execute the IGA. <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY <br />OF LOUISVILLE, COLORADO: <br />Section 1. The Intergovernmental Agreement, by and between the City of <br />Louisville and the Town of Estes Park, for the sharing of the City's license to use Lucity, <br />Inc.'s public works computerized maintenance management service (the "IGA"), is hereby <br />approved in essentially the same form as the copy of such IGA that accompanies this <br />resolution. <br />Section 2. The Mayor is hereby authorized to execute the IGA on behalf of the <br />City, and the Mayor is hereby further authorized to negotiate and approve such revisions to <br />the IGA as the Mayor determines are necessary or desirable for the protection of the City, <br />so long as the essential terms and conditions of the IGA are not altered. <br />PASSED AND ADOPTED this 5t" day of December, 2023. <br />ATTEST: <br />Meredyth Muth, City Clerk <br />Christopher M.
