COLORADO 80202 3622 <br />TELEPHONE <br />(303) 292-5656 <br />TELECOPY <br />(303) 292 -3152 <br />Sender's Internet E-mail Address <br />lkueter@invl. com <br />The purpose of this letter is to put into context the comments from Walter A. <br />Koelbel, Jr. of Koelbel and Company in a March 31, 1997 memorandum to various officials <br />of the City of Louisville, regarding outstanding and unresolved issues related to the <br />Commercial Development Design. Standards and Guidelines (the "Design Guidelines We <br />represent Koelbel and C ompany, a principal in numerous entities owning property in <br />Centennial Valley. <br />As you are aware, the Gateway Design Guidelines were adopted July 6, 1995 by the <br />Fifth Amendment to Amended and Restated Development Agreement for Centennial Valley. <br />The Gateway Design Guidelines are in place, and our client has a legal right, by the terms of <br />the Development Agreement, to operate pursuant to the Gateway Design Guidelines. <br />Notwithstanding the legal ability to operate pursuant to the Gateway Design <br />Guidelines, there is a willingness, as to the retail portion of our client's property, to <br />participate in and be subject to the Design Guidelines currently being considered. However, <br />that willingness is conditioned upon a resolution of the issues set forth in the March 31, 1997 <br />memorandum. We recognize that having the same design guidelines apply to Centennial <br />Valley as to the rest of the retail property within the City has benefits to both our client and <br />the City, particularly in the consistency of the application of rules, and consistency in dealing <br />with design issues. <br />
