<br />Section 2: Facilitator. <br />The facilitator shall be responsible for setting the agenda, facilitating discussion of the <br />business of the Board, and keeping the Board on time and on task. <br /> <br />Section 3: Recorder. <br />The recorder shall take notes and prepare the minutes of the meeting for distribution prior <br />to the next meeting. <br /> <br />ARTICLE IV <br />Meetings <br /> <br />Section 1: Regular Meetings. <br />Regular meetings shall be conducted as the Board deems necessary, with a minimum of one <br />meeting per quarter. <br /> <br />Section 2: Quorum and Decisions. <br />A majority of the members of the Board shall constitute a quorum for the purpose of <br />conducting its business and exercising it powers and authority for all other purposes. When <br />a quorum is in attendance, action may be taken by the Board. <br /> <br />Board decisions shall be made by consensus of the members present. Discussion shall be <br />open, and all members shall have equal opportunity to address issues under consideration. <br />The facilitator shall set reasonable time limits on discussion as necessary. <br /> <br />Section 3: Absences. <br />Any member missing two consecutive meetings without, explanation or prior notice will be <br />dropped from the Board. Contact regarding absences should be made with the Parks and <br />Recreation Department or the facilitator of the meeting that will be missed. <br /> <br />ARTICLE V <br />Amendments and Suspension of By-Laws <br /> <br />Section 1: Amendments and By-Laws. <br />The By-Laws of the Board shall be amended only if there has been a notice of a motion <br />to amend the By-Laws duly seconded at the previous meeting of the Board. Any <br />amendment to these By-Laws must be approved by a consensus of the members of the <br />Board. <br /> <br />Section 2: Suspension of By-Laws. <br /> <br />6 <br />
