PURCHASE AND SALE AGREEMENT THIS PURCHASE AND SALE AGREEMENT (the "Agreement") is made and entered into this 2~a day of May, 2001, by and between THE ARCHDIOCESE OF DENVER, a Colorado corporation sole, having its principal place of business at 1300 South Steele Street, Denver, Colorado 80210 (the "Seller"), and CITY OF LOUISVILLE, COLORADO, a municipal corporation, having its offices at 749 Main Street, Louisville, Colorado 80027 (the "Purchaser"). WITNE S SETH: WHEREAS, Seller is the owner of that certain parcel of land, the legal description of which is attached hereto as Exhibit A and made a part hereof (together with the appurtenant rights thereto described below, the "Property"); and WHEREAS, Seller desires to sell to Purchaser and Purchaser desires to acquire fi.om Seller the Property under the terms and conditions hereinafter set forth. NOW, THEREFORE, in consideration of the foregoing, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, and the mutual covenants hereinafter contained, the parties, intending to be legally bound, do hereby agree as follows: 1. PROPERTY Seller agrees to sell and cause to be conveyed to Purchaser, and Purchaser agrees to acquire fi.om Seller, subject to the terms, conditions and provisions hereinafter set forth, all interest of Seller in and to the following items comprising the Property: (a) Land. All of the land which is more particularly described in Exhibit A attached hereto, including all oil, gas and other minerals owned by Seller and appurtenant to the land, and all water and water rights or vested or inchoate rights and interests in surface and subsurface water, if any, attached or appurtenant to the land (the "Land"); (b) ~&e,m.q,a~.
