ARTICLE <br />NAME <br />The name of the organization is SENIORS <br />OF LOUISVILLE <br />ARTICLE 2 <br />PRINCIPAL OFFICE <br />The location of the principal office of the <br />organization is 900 West Via Appia, Louisville, <br />Colorado, 80027. The organization's books shall b <br />kept at such office. <br />ARTICLE 3 <br />MISSION AND VISION <br />Section 3.1 Mission The Seniors of Louisville <br />Advisory Board is dedicated to creating a vibrant <br />community in which we all age-well. <br />Section 3.2 Vision. To provide for the welfare of <br />seniors through programs and services of the <br />Louisville Senior Center by advising staff and <br />participating m focus groups; thereby building a link <br />between the community of semors, advisory board and <br />staff in addressing basic needs, maximizing <br />mdeperidence, promoting social and civic engagement <br />and optimizing physical and mental health and well- <br />being. <br />Section 33 To select and provide a recommendation <br />to the Boulder County Board of Commissioners a <br />candidate to represent the seniors in the L.ouisvilIe <br />area on the Area Agency on Aging Advisory Council <br />(AAC). <br />ARTICLE 4 <br />MEMBERSHIP <br />Section 4.1 Membership in thc SENIORS OF <br />LOUISVILLE shall b-c open to all residents of the <br />City <br />of Louisville and surrounding areas who are <br />participating in SENIORS OF LOU1SV1tJJ <br />antivitm and who have attained the age of 55 years. <br />Evidence of membership shall be the request to <br />receive the Senior flighlights. <br />CONSTITUTION/BY LAWS <br />Adopted July 15, 2003 Amended 6/17/OH <br />SENIORS OF LOUISVILLE <br />ARTICLE 5 <br />GENERAL MEMBERS FIIP MEETINC;S <br />Section 5.1 The Annual Meeting of the Membership <br />shall be held in November and shall be noticed in the <br />November/December "Senior Highlights". <br />Section 5.2 Additional meetings of the Membership <br />may bc called by the Chair to keep the members <br />informed and submit matters of business for <br />consideration and/or vote <br />Section 5.3 Meetings of the Membership shall bc <br />called by the Board at the written request of ten <br />members stating the reason for the meeting. <br />Section 5.4 Publication in the "Senior Highlights" <br />shall satisfy notification of the meetings. Notification <br />of all Membership meetings shall be made at least two <br />weeks prior to the meeting <br />Section 5.6 Those members present at a called and <br />properly noticed Membership meeting shall constitute <br />aquonum <br />Section 5.7 There shall be no proxy voting. <br />Article 6 <br />Senior Advisory Board tvleiribers <br />Section 6.1 The members of the Board shall be <br />elected by the Membership The Board shall have nine <br />elected voting members. Included on the Board but <br />not as voting members shall be the appointed <br />chairpersons of thc standing committees and a liaison <br />person appointed by the City Council of Louisville, <br />The Senior Services Supervisor and the Director, <br />Recreation and Senior Services shall also he <br />nonvoting members of the Board. <br />Section 6.2 Only the elected or duly appointed <br />replacement members of the Board shall have a vote. <br />Section 6.3 Attendance of board members at <br />meetings is mandatory. Board members shall be <br />permitted two (2) =excused absences per year. <br />Excused absences shall include sickness, out-of-town, <br />and others as the board determines.
