Any Board member who has two unexcesed absences in a year may have their position declared vacant and the Board shall then appoint a replacement. ARTICLE 7 TERMS OF OFFICE Section 7.1 The terms of office of the Board alien be three years. Each year three new Board members shall be elected. ARTICLE 3 DUTIES OF THE BOARD Sition 3.1 The Board shalt conduct the business of the SENIORS OF LOUISVILLE to meet the purposes of the organization as defined in Article 3 Section Si The Board shall refer matters of business to the Iviembership, ea the Board de rna appropriate. Section EL3 The Board shall authorize all expenditures paid from the treasury of the SENIORS OF LOUISVILLE, except as noted in Article 16. ARTICLE 9 BOARD MEET Section 9.1 The regular meetings of the Board Abell be held not less than bimonthly at such time and place as the Board members shall determine Section 9.2 Special meetings of the Beard may be called by the Chair, or at the request of a majority of the elected members of the bocu ARTICLE 10 OFFICERS SECTION 10.1 The Board shall elect the following officers: Chair Vice-Chair Secretary Treasurer 2 Thy shell serve thew term of efface for one year or until a successor has been elected and qualified. Article 11 DUTIES OF OFFICERS: Section ILI Chair: The Chair shall preside at all meetings of the Board and the SENIORS OF LOUISVILLE Membership meetings. The Chair shall appoint all committees' subject to approval of the Board. The Chair shall be an ex-officio member of all committees except the nominating uommittee. Section 11.2 Vice-Chair: The Vice-Chair shall assist the Chair and shall assume the duties of the Chair when not present or other duties as delegated by the Chair The Vice-Chair shall keep the yearly calendar and inform the Chair of upcoming duties and events. Section /I 3 Secretary. The Secretary shall keep the minutes at all meetings of the Board and SENIORS OF LOUISVILLE Mcmherkita and shall perform such duties as assigned to the office of secretary by the Chair. Section 11.4 Tf*asurec The Treasurer shall receive all monies paid to the SENIORS OF LOUISVILLE. The Treasurer shall make all disbursements of fluids approved by the Board. Ail checks are to be signed by the Treasurer or by the Chan: 1.1 the Treasurer is absent. The Treasurer shall keep records of all monies received and disbursed and submit a financial report for each month The Treasurer shall prepare a summary financial statement at the end of each fiscal year to be audited. The audit report shall be presented to the Board at the January Board meeting. Results of the audit will be published in the Senior Highlights for March/April. The Treasurer shall prepare an estimate of expenditures for the following year and present it to the Board at the December meeting. ARTICLE 12 BOARD AND OFFICER VACANCIES Section 12.1 In the event of a vacancy on the Board, the Chair shalt appoint a SENIORS OF LOUISVILLE member to fill the vacancy wed the next annual meeting of the Membership, at which time any remaining unexpired term shall be filled by election. Section 12.2 If the office of the Chair shall become vacant for any reason, the Vice-Chair shall fill the imexpired term,
