Section 123 In the event of a vacancy in the office of Vice-Chair, Secretary or Treasurer, the Bond shall appoint another Board member to fill the unexpired MITI of the respective office Section 124 All vacancies filled by the Chair are subject to approval of the Board ARTICLE 13 QUORUM Section 13.1 The presence of a majority of elected members at any Board meeting shall constitute quote . Section! 13.2 The menabers present at any SENIORS OF LOUISVILLE Membership meeting Ahar! constitute a quonson. ARTICLE 14 ELECTIONS Section 14.1 Thc Chair shall appoint a nominating committee in July, which shall CIO mitinte the c.urdidates for election to the Bo.ard. The committee shall be made up of three non hoard members selected from the Membership. The committee shall report the nanies of the candidates to the Bard at the Annual Board meeting. Section 14.2 The electiot or the Board shall be by ballet by those present and qualified to vote at the Annual Meeting. A plurality vote shall be necessary to elect. A voice vote may be taken when the number of eorninees is Lepel to or Iess than the number of existing vacancies. Section 14.3 Members elected shall take office the first day of January and serve terms as stated in Article 7. Election of officers shall take place at the first Board meeting in January. ARTICLE 15 STANDING COMMLITTEES Section 151 The following standing comnuttees shall bc established: 15.1.1 Addressing Basic Needs 15.1.2 Maximizing Independence and Supporting Caregivers. 15.13 Promoting Social and Civic Frigagerneet. 15.1.4 Opttnizing Physical and Mental Health and Well-Being. Section 15.2 These committees shall be appointed annually by the Chair and serve one calendar year. ARTICLE 16 MONEY Section 16.11 The SWORS OF LOLTISVELLE shall have its own treasury. All monies of the organization shall be deposited in the account of SENIORS OF LOUISVILLE at a hank designated by the Beard. Both the Chair and the Treasurer shall have signatory rights on the accounts, Section 16.2 Amounts of more than $50 00 per item may not be expended wehout Board approval. Section 16.3 A three member committee, one from the Board and two from the Membership. shall be appointed by the Chair in January to perform an annual audit of the financial matters of the organizatioo. The results of the audit shall be presented to the Board at the February meeting. ARTICLE 17 PARLIAMENTARY PROCEDURES Section 17.1 Robert's Rules of Order, as revised, shall govern the Board and SENIORS OF LOIJISVITLF Membership meetings ARTICLE 18 AMENDMENTS Section 17.1 The Board may amend the Constitution/Bylaws by an affirmative vote of six members of the Board. Section 17.2 No amendment shall be put to vote unless notice stating the purpose of the amendment has been given to the Board members two weeks prior to the meeting at which the amendment will be voted upon.
