Section2.ConflictofInterest;Codeof Ethics.Themembersandofficersof
<br />theCouncilshallcomplywithallapplicablefederalandstatelawsregardingconflictsof
<br />interest.Themembers,officersandemployeesoftheCouncilshallalsocomplywith the
<br />Codeof EthicssetforthasSections5-6through5-17oftheCityofLouisvilleHome
<br />RuleCharter(“Codeof Ethics”).ForpurposesofapplicationofsuchCodeof Ethics
<br />only, theCouncilshallbeconsidereda“publicbody”andamemberoftheCouncilshall
<br />beconsidereda“publicbodymember.”
<br />Section3.AmendmentofBylaws.TheBylawsoftheCouncilmaybeamended
<br />onlyuponthevoteofatleastseven(7)membersoftheCouncil.
<br />Section4.ConflictofLaw.Whereanyconflictexistsbetweenanyprovisionof
<br />these Bylawsand theLouisvilleHomeRuleCharterorCityordinances,suchordinances
<br />orstatutesshallcontrolover theprovisionsof these Bylawsand these Bylawsshallbe
<br />deemed tohavebeenamendedtoconformtosuchordinancesandstatutes.
<br />ARTICLE VI
<br />NON-DISCRIMINATION
<br />Section1 General– Itis thepolicyof theCouncil thatneithertheinstitutionnorany
<br />staffmember,volunteerorcontractorwith theCouncilshalldiscriminateagainstany
<br />individualonthebasisofage,race,color,nationalorigin,citizenship,ancestry,religion,
<br />creed,gender,genderidentity,sexualorientationorpreference,maritalstatus,military
<br />status,or theexistenceofanysensory,mentalorphysicalhandicapin the
<br />administrationordeliveryofprogramsandservices.
<br />Section2. ProgramParticipationNon-Discrimination:TheCouncilencourages
<br />participationinallitsactivities,services,andgrantingprogramsbyindividualsofall
<br />cultural,ethnic,geographic,sexualorientation,andreligiousbackgroundandfully
<br />complieswith theAmericanwithDisabilities Act.

<br />NON-PROFIT STATUS
<br />Section1General–TheLouisvilleCulturalCouncil(LCC)isorganizedbythe
<br />CityCounciloftheCityofLouisville,Colorado,tooperateasanonprofitorganizationfor
<br />charitable,educational,cultural,andscientificpurposeswithinthemeaningofSection
<br />501(c)(3)oftheInternalRevenueCode,asamendedfromtimetotime,topromoteand
<br />toprovidefortheproduction,presentation,exhibition,coordination,advancement,and
<br />preservationofart,music,theater,dance,zoology,botany,ornaturalhistory fortheCity
<br />ofLouisville,Colorado,andtopromotecommunicationamongtheseveralculturalarts
<br />organizationsoperatingwithin theCityofLouisville,Colorado.
<br />Section2Contributions–Consistentwith thesepurposes,theCouncilmay
<br />promote,solicit,andencouragecontributionsfromcommunityorganizations,bothpublic
<br />andprivate,includinggrantsfromcorporationsorindividuals,ofmonies,personaland
