ICE RINK MANAGEMENT AND LICENSE AGREEMENT <br />2025-2026 Winter Skating Season <br />THIS ICE RINK MANAGEMENT AND LICENSE AGREEMENT ("Agreement") is <br />made and entered into this _ _ day of 00b�' , 2025, by and between the <br />CITY OF LOUISVILLE, a Colorado home rule municipality (the "City"), and the MAIN <br />STREET LOUISVILLE BUSINESS IMPROVEMENT DISTRICT, a Colorado quasi - <br />municipal corporation and political subdivision ("BID"). <br />WHEREAS, the City is the owner of certain real property located at 824 Front <br />Street, Louisville, Colorado, commonly referred to as the Steinbaugh Pavilion; and <br />WHEREAS, the City conducts an annual wintertime temporary ice skating event <br />at Steinbaugh Pavilion (the "Event"); and <br />WHEREAS, the City desires to engage the BID to manage and conduct the Event <br />and is willing to grant the BID a revocable license to use and occupy the Steinbaugh <br />Pavilion for the Event in accordance with the terms and conditions of this Agreement. <br />NOW, THEREFORE, in consideration of the covenants and mutual promises <br />contained herein the parties agree as follows: <br />1. Incorporation of Recitals. The recitals set forth above are incorporated <br />herein and made a part of the Agreement. <br />2. License., The City hereby grants to the BID a revocable license to use and <br />occupy the real property located at 824 Front Street and commonly referred to as the <br />Steinbaugh Pavilion, together with the improvements thereon, as generally shown on <br />Exhibit A (the "Premises"), for the conduct of the Event. During the term of this <br />Agreement, the BID shall have exclusive use of the Premises for the conduct of the Event. <br />There shall be no charge to the BID for its use of the Premises for the Event. <br />3. BID Responsibilities.. During the term of this Agreement, the BID agrees <br />to conduct and manage the Event, which consists of ice rink installation, operation, and <br />maintenance; ticket sales; skate rental and sharpening; rink rentals; and entertainment. <br />Without limiting the generality of the foregoing, the BID agrees to perform the following: <br />a. Eauioment Rental, Purchase, and Installation._ The BID will, at its sole <br />expense, rent the chiller, Zamboni, and portable toilets (the "BID Equipment"), and will <br />install such BID Equipment at the Premises. The BID shall submit to the City for approval <br />a proposed schedule for Equipment delivery, set-up, maintenance, operation, and <br />removal of all Equipment. All approvals by the City required by this Agreement shall be <br />given by the City Representative identified in Section 7. The BID may modify the schedule <br />as needed due to delivery delays, labor unavailability or other unanticipated occurrences. <br />In its discretion, the BID may purchase all or part of the BID Equipment. <br />
