PO # 471000916 <br />Routing # 16 -HA4 ZH -00165 <br />H. Manual <br />"Manual" refers to CDOT's "Local Agency Manual ", if applicable. <br />I. Party or Parties <br />"Party" means the State or Grantee and "Parties" means both the State and Grantee. <br />J. Project <br />"Project" means Work identified in Exhibit A. <br />K. Program <br />"Program" means the Funding Advancement for Surface Transportation and Economic Recovery <br />(FASTER) Senate Bill 09 -108 grant program that provides the funding for this Grant. <br />L. Review <br />"Review" means examining Grantee's Work to ensure that it is adequate, accurate, correct and in <br />accordance with the criteria established in §6, §19 and Exhibit A. <br />M. Services <br />"Services" means the required services to be performed by Grantee pursuant to this Grant. <br />N. State Funds <br />"State Funds" means funds provided by the State for performance of the Work. <br />O. Subgrantee <br />"Subgrantee" means third - parties, if any, engaged by Grantee to aid in performance of its obligations. <br />P. Work <br />"Work" means the tasks and activities Grantee is required to perform to fulfill its obligations under this <br />Grant and Exhibit A, including the performance of the Services and delivery of the Goods <br />Q. Work Product <br />"Work Product" means the tangible or intangible results of Grantee's Work, including, but not limited to, <br />software, research, reports, studies, data, photographs, negatives or other finished or unfinished documents, <br />drawings, models, surveys, maps, materials, or work product of any type, including drafts. <br />5. TERM AND EARLY TERMINATION <br />A. Initial Term -Work Commencement <br />The Parties respective performances under this Grant shall commence on the Effective Date. This Grant <br />shall termmate five (5) years from the date of the state controller's signature m section 23 unless sooner <br />terminated or completed as demonstrated by final payment and final audit. <br />B. Notice to Proceed <br />Grantee shall not commence performance of the Work until the date specified by a written notice to <br />proceed, which may be sent by email or by hardcopy pursuit to §17. <br />6. SCOPE OF WORK <br />A. Completion <br />Grantee shall complete the Work and its other obligations as described herein and in Exhibit A (Scope of <br />Work). Work performed prior to the Effective Date or after final acceptance shall not be considered part of <br />the Work <br />B. Goods and Services <br />Grantee shall procure Goods and Services necessary to complete the Work. Such procurement shall be <br />accomplished using the Grant Funds and shall not increase the maximum amount payable hereunder by the <br />State. <br />C. Employees <br />All persons employed by Grantee or Subgrantees shall be considered Grantee's or Subgrantees' <br />employee(s) for all purposes hereunder and shall not be employees of the State for any purpose as a result <br />of this Grant. <br />D.
