date of closing; <br /> (viii) Seller ' s closing costs which include Seller ' s <br /> portion of the\prorated taxes and other, assessments <br /> affecting the Parcels, all incidental costs and <br /> fees customarily paid by Seller in Boulder County <br /> land transactions and one-half of the cost of any <br /> closing fee; <br /> (ix) An affidavit as to the non-foreign status of Seller <br /> in accordance with Internal Revenue Code Section <br /> 1445; <br /> (x) If applicable, an affidavit by a professional <br /> engineer as described in Paragraph 13; <br /> (xi) Any other documents required by this Agreement to <br /> be delivered by Seller to the title company or <br /> reasonably required by Purchase'rs or the title <br /> company in connection herewith. <br /> . (x i) All documents necessary for conveyance of the Water <br /> Rights, as set forth in Paragraphs 14 of this <br /> Agreement. <br /> (xiii) Any quitclaim deeds as described in Paragraph 3 of <br /> this Agreement. <br /> (b) At closing Purchasers shall deliver to Seller: <br /> (i) The applicable balance of the purchase price by <br /> warrant or other good funds for the Parcels <br /> together with the Water Rights; <br /> (ii) Purchasers ' closing costs which include all <br /> incidental costs and fees customarily paid by <br /> purchasers in Boulder County and one-half of the <br /> cost of any closing fee; <br /> (c) Prior to the closing of Parcel 1, Seller shall remove all <br /> equipment, vehicles,, salvage and other personal property <br /> from Parcel 1 . <br /> 9. It is agreed that tithe is of the essence hereof.
