(a) At the closing of the Parcels, the Seller shall deliver <br /> to the Purchasers the following: <br /> I(i) Fully good and sufficient executed and acknowledged <br /> general warranty deeds conveying to Purchasers good <br /> and merchantable title to Parcel 1 and conveying to <br /> City good and merchantable title to Parcel 2, free <br /> and clear of all liens, tenancies and encumbrances <br /> except those set forth in Paragraphs 6 (a) and 6 (b) <br /> above; <br /> (ii) Fully good and sufficient executed and acknowledged <br /> Conservation Easements as described in Paragraph <br /> I 2 (b) of this Agreement, free and clear of all <br /> liens, tenancies and encumbrances except those set <br /> 1 <br /> forth in Paragraph 6 (a-c) of this Agreement; <br /> (iii) Possession of the Parcels, free and clear of all <br /> existing leases and tenancies; ' <br /> (iv) Documents acceptable to Purchasers and the title <br /> company evidencing the authority of Seller to <br /> execute this Agreement and to convey a fee simple <br /> , interest in the Parcels, and the Conservation <br /> Easements, to the Purchasers; <br /> (v) All instruments, certificates, affidavits, and <br /> other documents necessary to satisfy the <br /> Requirements listed on Schedule B-1 of the title <br /> commitment; <br /> (vi) A current, update of the title commitment, at <br /> Seller' s expense, showing tittle subject only to the <br /> permitted exceptions determined by Paragraph 6 (a-c) <br /> of this Agreement. Seller shall cause the title <br /> company to issue its standard form Owner' s Policy <br /> of Title Insurance insuring good and merchantable <br /> title to Parcel 1 in Purchasers and insuring good <br /> and merchantable title to Parcel 2 in the City and <br /> insuring the Conservation Easements on the Lots, <br /> with the standard printed exceptions deleted, and <br /> subject only to the permitted exceptions as <br /> determined in Paragraph 6 (a-c) of this Agreement; <br /> (vii) A certification that the representations and <br /> warranties of Seller pursuant to Paragraphs 10 and <br /> 15 hereof continue to be true and correct as of the <br /> BOWES PURCHASE AGREEMENT, <br /> DIVISION OF LAND -8- <br /> , <br /> 8- <br /> , I <br /> , <br />
