in the Purchasers' sole discretion. <br /> It is intended that Parcel 2 shall include the portion of the <br /> Property lying within the right of way for Dillon Road which <br /> is owned by the Seller or individually by Linda Watts, Jack <br /> Bowes, and Ruth Bowes. Seller agrees that Seller shall <br /> provide proof of record, prior to closing, of deeds evidencing <br /> its ownership of the portions of the Property lying within the <br /> right of way for Dillon Road (hereafter, "road right-of-way <br /> property" ) . In the alternative, upon prior notice to and <br /> approval of City in its sole discretion, Seller may obtain and <br /> deliver to City at closing general warranty deeds under which <br /> the current owners of the road right-of-way property convey it <br /> directly to the City. <br /> DIVISION OF LAND <br /> 2 . (a) The Seller shall retain fee simple interest in. Lot A and <br /> Lot B. By execution of this Agreement, but subject to the <br /> contingencies of this Paragraph, the Board of County <br /> Commissioners has approved the division and creation of Lot A <br /> and Lot B. Lot A contains approximately 2 . 5 acres, and Lot B <br /> contains approximately 2 . 5 acres. The general locations and <br /> configurations of Lot A and Lot B are shown on Exhibit B. The <br /> exact configurations for the Lots shall be as agreed upon by <br /> the Seller and the Purchasers after the survey is completed. <br /> If the contingencies of this Paragraph are satisfied, the Lots <br /> shall be legal building lots with one corresponding <br /> development right on each Lot . <br /> The existing residence on Lot A shall constitute the one and <br /> only development unit for Lot A. Any future development, <br /> remodel or expansion of any structures on the Lots will be <br /> subject to site plan review and any other applicable County <br /> land use regulations, or City land use regulations upon <br /> annexation of the Lots to the City, and all restrictions <br /> contained in the Conservation Easements (as identified in <br /> Subparagraph (b) below) granted by the Seller to the <br /> Purchasers . If requested by the City, the Seller shall annex <br /> the Lots to the City of Louisville. Seller specifically <br /> agrees that if the Lots are annexed to Louisville, then a PUD <br /> development plan under Chapter 17 . 28 of the Louisville <br /> Municipal Code shall be required for development of the Lots . <br /> (b) The City agrees to sell to Seller, subject to the terms <br /> and conditions of this Paragraph, one (1) domestic residential <br /> water tap for each Lot. These taps shall be used solely for <br /> BOWES PURCHASE AGREEMENT, <br /> DIVISION OF LAND -3= <br />
