<br />7. The State and the Contractor have authority to contract for the maintenance of state <br />highways within the jurisdiction of the Contractor, including the operation and maintenance of <br />traffic control devices; and <br />8. The Contractor desires to operate and maintain the traffic control devices on certain state <br />highways within its jurisdiction, provided that the State pays Contractor for such operation and <br />maintenance as provided in this Contract. <br /> <br />NOW, THEREFORE, it is hereby agreed that: <br /> <br />A. All of the specific location(s) and type(s)of traffic control device(s)to be operated and <br />maintained by the Contractor pursuant to this contract are described in Exhibit B, attached <br />hereto and incorporated herein. <br />B. The Contractor shall operate and maintain the specific traffic control devices, and at the <br />particular locations, all as listed on Exhibit B ("the W ork"), in a manner that is consistent <br />with current public safety standards on state highways within its jurisdictional limits, and <br />in conformance with applicable portions of the "Manual on Uniform Traffic Control <br />Devices" and the "Colorado Supplement" thereto, which are referred to collectively as the <br />"Manual" and which are incorporated herein by reference as terms and conditions of this <br />Contract. The Contractor shall provide all personnel, equipment, and other services <br />necessary to satisfactorily perform such operation and maintenance. <br />C. The State shall have the option to delete, at any time during the term of this Contract, one <br />or more specific traffic control devices from those listed in Exhibit B, and therefor from the <br />Work to be performed by the Contractor under this Contract. The State may exercise that <br />option by written notice to the Contractor deposited in the mail, using an option form letter <br />substantially equivalent to Exhibit D. <br />The State shall give the Contractor 90 days preliminary written notice of its intent to <br />execute the option. If the State exercises this option, the Contract shall be deemed <br />modified accordingly, and in that event the State shall have no obligation to pay the <br />Contractor for the operation and maintenance of the deleted traffic signal( s) from the <br />2 <br />
