<br />effective date of that Option notice. <br />D. The Contractor may propose, in writing, other potential specific traffic control devices to <br />be operated and maintained by the Contractor during the term of this contract, based on the <br />same rates that had been initially agreed to by the Contractor for the Work. If the State <br />determines in writing that operation and maintenance of those other devices by the <br />Contractor is appropriate, and is desirable to the State, and if the State agrees to add such <br />devices to this contract, then the State shall, by written Task Order issued to the Contractor <br />in a form substantially equivalent to Exhibit E, add such devices to this contract, as <br />provided below. <br />1. The Contractor's written proposal shall reference this original Contract between the <br />parties. A representative of the Contractor who is authorized to contractually bind <br />the Contractor shall sign and execute that Proposal. The Proposal shall expressly <br />provide that such signature shall be deemed a formal offer which may be accepted by <br />the State's signing and transmitting to the Contractor a Task Order issued pursuant to <br />that Proposal, provided that the Task Order issued by the State makes no substantive <br />change(s) in the terms of that Proposal. A Task Order issued in accord with the <br />above terms shall be binding on the Contractor without further Contractor approval <br />of that Task Order. <br />2. Performance of the Work on devices added by Task Order, and payment for that <br />Work, shall be governed by the standards and procedures set forth in this Contract. <br />The State's financial commitment memorialized by the Task Order Letter shall not be <br />effective until signed by the Controller or such assistant as he may designate. <br />E. The State shall pay the Contractor for the satisfactory operation and maintenance of traffic <br />control devices under this contract at the rates described in Exhibit C, which is attached <br />hereto and made a part hereof. Provided, however, that the total charges to be paid by the <br />State during each fiscal year beginning July 1 and ending June 30 of the following year <br />shall not exceed a maximum amount of $3,000.00 without the benefit of a supplemental <br />agreement (or Task Order) executed prior to any such excess charges being incurred. <br />Contractor billings and State payments for each of the traffic control devices listed in <br /> <br />3 <br />
