ORDINANCE NO. 1862 <br />SERIES 2023 <br />AN ORDINANCE AMENDING CHAPTER 2.20 OF THE LOUISVILLE MUNICIPAL <br />CODE CONCERNING THE ARTS & CULTURE ADVISORY BOARD <br />WHEREAS, the City of Louisville (the "City"), is a Colorado home rule municipal <br />corporation duly organized and existing under laws of the State of Colorado and the City <br />of Louisville Home Rule Charter (the "City Charter"); and <br />WHEREAS, by Resolution No. 10, Series 1989, the City Council established the <br />Louisville Arts and Humanities Council for the purpose of advising the Mayor and City <br />Council as to the distribution of a cultural sales tax appropriated to benefit non-profit <br />organizations by the Boulder County Citizens Cultural Advisory Council; and <br />WHEREAS, on June 20, 1989, Articles of Incorporation were filed with the <br />Colorado Secretary of State establishing the Louisville Arts and Humanities Council as a <br />non-profit corporation, organized and operated exclusively for charitable and civic <br />purposes, including the making of distributions to organizations that quality as exempt <br />organizations under Section 501(c)(3) of the Internal Revenue Code; and <br />WHEREAS, on October 6, 2006, Articles of Amendment were filed with the <br />Colorado Secretary of State changing the entity name to the Louisville Cultural Council; <br />and <br />WHEREAS, by Resolution No. 13, Series 1989, and Resolution No. 29, Series 2010, <br />the City Council made adjustments to the membership and renamed the Louisville Arts and <br />Humanities Council the Louisville Cultural Council, reflecting the change to the business <br />name that had been filed with the Colorado Secretary of State in 2006; and <br />WHEREAS, on August 22, 2023, Articles of Amendment were filed with the <br />Colorado Secretary of State changing the entity name to Friends of Louisville Arts, <br />Sciences, and Humanities (FLASH); and <br />WHEREAS, the activities of the non-profit corporation now known as FLASH are <br />conducted by FLASH's corporate board or directors and FLASH is no longer affiliated <br />with the City or any of the City's boards or commissions; and <br />WHEREAS, subsequent to the creation of the Arts and Humanities Council in 1989, <br />the City's voters approved the City of Louisville Home Rule Charter; and <br />WHEREAS, Section 10-1(a) of the Charter provides the City Council may, by <br />ordinance, establish, consolidate, or abolish any board or commission; and <br />Ordinance No. 1862, Series 2023 <br />Page 1 of 3 <br />
