Nothing in this Agreement shall be <br /> deemed to create a joint venture, partnership or principal~agent relationship between the parties <br /> and neither party is authorized to, nor shall either party act toward third persons or the public in <br /> any manner that would indicate any such relationship with the other. <br /> I SECTION ] 64. ASSIGNMENT AND SUBLETTING. CCTV may not assign any <br /> of its interests or obligations under this Agreement, either in whole or in part, without the prior <br /> written consent of the City. CCTV also may not assign any of its interests in any monies due or <br /> to become due to it hereunder without the prior written consent of the City. <br /> I SECTION ] 7~. FUNDING AND OTHER RESOURCES. The City agrees to make the <br /> follovving funds and resources available to CCTV: <br /> A. PUBLIC ACCESS CHANNEL. Pursuant to the Franchise Agreement, Comcast <br /> has dedicated certain channel capacity (spectrum on the cable system) for Public Access use. The <br /> City agrees to permit CCTV to manage that channel capacity for Public Access programming <br /> purposes. <br /> I_B. _ FUNDING FOR PUBLIC ACCESS EQUIPI'vlENT ANI~'LF ACILITIES-A-i'Jl:} <br /> t;Qt: [ I-PMf;N={" <br /> , -- 'C'-- ---r ::i _ - , <br /> 1. As part of the informal cable franchise renewal process pursuant to 47 D.S.C. S <br /> 546(h), and specifically in relation to the unique needs of the City of Louisville, <br /> Comcast has committed to make a $50,000 unrestricted technical grant. Pursuant to <br /> Resolution No. 10, Series 2006, the City has created a special revenue Public Access <br /> Television Fund ("P A TF") for deposit of such $50,000 grant and interest thereon, and <br /> specified that full amount of this grant and interest earned thereon shall be used solely <br /> for the provision of Public Access television programming, facilities or services. <br /> CCTV may apply tor the use of funds from the P A TF and the parties shall enter into <br /> one or more separate agreements concerning an)' use of such funds for or on behalf of <br /> CCTV as may be determined and approved by the City in its sole discretion. The use <br /> of such funds shall also be compliance with applicable budgetary, appropriation, <br /> contracting and procurement requirements. <br /> 10 <br />
