Louisville City Council Meeting
November 21, 2000
Page 5.

Davidson opened the public hearing and asked if anyone in the audience wished to speak
in favor or against Ordinance No. 1351, Series 2000. Hearing none, Davidson closed the
public hearing.

COUNCIL COMMENTS

Levihn asked if the cable TV office would remain in Louisville. Michael Trueblood,
Comcast Business Manager stated that the cable TV office will remain in Louisville and
that it is a franchise requirement.

Levihn asked if the number of channels will remain the same. Michael Trueblood stated
that the channels will likely stay the same but noted that AT&T may eventually bring on
additional services including digital cable.

Mayer stated that it was his understanding that AT&T acquired Media One and according
to the Justice Department, were supposed to divest themselves of certain systems. He
asked Mr. Trueblood if Louisville would be included. Trueblood stated that to his
knowledge, the proposed transaction is not an outright purchase of Comcast by AT&T,
but is an asset swap. He noted that there are a number of properties nationwide that
AT&T and Comcast are transferring.

Wendy Farley, AT&T Broadband Associate Director of Local Government Affairs,
presented Council with a handout that outlines the proposal. She confirmed the number
of channels will remain the same.

Mayer asked Ms. Farley if AT&T will maintain an office in Louisville. Farley stated that
an office would remain in Louisville. Mayer asked Farley if there is anything in the
merger with Media One that will affect Louisville. Farley stated their goal is to have the
entire Colorado Front Range under AT&T Broadband, and that they have no intentions of
buying Comcast and then letting the systems go.

Levihn asked Farley if the channel setup would remain the same. Farley stated that the
channel setup will remain the same, however in the future, the goal is to put everyone
along the Colorado Front Range on the same channel lineup.

Keany asked if part of the franchise includes local channels and government options.
Farley stated that AT&T will comply with all the franchise requirements.

Davidson asked Farley how many service technicians would be available in Louisville.
Farley stated that the system will remain as is, and technicians added as needed.

5
