meet with the Parties and other stakeholders, including CDOT to understand project goals <br />and preliminary alignments. After the consultant has performed surveys, investigated <br />property and right of way boundaries, researched wetland and drainage impacts, among other <br />preliminary design tasks, the consultant will meet again with the Parties to finalize an <br />alignment and proceed with final design of the trail. The Parties will mutually agree on the <br />design of the Connector Trail and related Connector Trail improvements such as drainage, <br />signage, historical impacts, wetland impacts, and revegetation prior to the approval of the <br />construction documents. Parties must provide written approval of design concept by an <br />authorized agent of the Agency before plans can be advertised for bidding. Louisville will <br />coordinate all reviews and approvals with CDOT. The trail design shall be for a primarily soft- <br />surface/crusher fine (concrete surface may be used adjacent to roads or for drainage -related <br />concerns), 8-foot wide multi -use trail that links the Coal Creek Trail to the Rock Creek Trail. <br />Trail design standards shall be established with the selected consultant and agreed upon by all <br />Parties, including CDOT. A map of the proposed alignment can be found in Exhibit A. A <br />detailed conceptual budget estimate can be found in Exhibit B. <br />2. City of Louisville Responsible for Trail Construction. Louisville, in partnership with the <br />consultant, will advertise the project for construction, and will contract with the responsible <br />low -bid contractor. Louisville will be responsible to oversee the completion of the <br />construction of the Connector Trail and related Connector Trail improvements including, but <br />not limited to trail improvements, drainage, signage, and revegetation, to ensure compliance <br />with the design plans approved by the Parties ("Design Phase"), and shall be solely <br />responsible for all contracting, supervisory and administrative matters related to the <br />completion of the Construction Phase. City of Louisville shall ensure trail construction is <br />completed no later than October 1, 2022. <br />Construction Management. Louisville will advertise to hire a construction management <br />consultant ("CM consultant") to assist with the day to day inspections and construction <br />management tasks. The Parties will be invited for any inspections related to segments of <br />construction on their respective property, and all Parties will be included in final inspections prior <br />to Louisville's acceptance of the Connector Trail and associated improvements. In compliance <br />with the Grant, Louisville will coordinate all final inspections and closeout with CDOT. <br />4. Grant Funds Applied: Payment and Reimbursement. <br />A. Louisville shall contract with and pay all invoices to design consultant, low -bid <br />contractor, and construction management firm. Louisville will then seek reimbursement <br />from CDOT and the other Parties. <br />B. Grant Funds: Louisville shall apply for reimbursement from CDOT per Louisville's <br />IGA with CDOT to pay the project costs until such funds are exhausted. <br />C. Design Phase: The CDOT grant will provide 50/50 reimbursement up to $75,000 <br />for the Design Phase. Thereafter, each of the Parties will provide local cash match <br />of one-third for remaining design costs. Louisville will seek reimbursement from <br />CDOT before invoicing the other Parties for reimbursement. Each quarter, or at <br />other agreed upon interval, commencing with the first quarter after (i) the Design <br />Phase is commenced, and (ii) the Grant funds are exhausted, Louisville shall send <br />Lafayette and Boulder County an invoice for Design Phase costs incurred by <br />Louisville in the prior quarter, including copies of invoices and pay applications <br />received from the consultant.
