DocuSign Envelope ID: Al EO9997-FOCF-487C-90EE-2C1 F4194E180 <br />INTERGOVERNMENTAL AGREEMENT <br />Empire Drive Resurfacing <br />This Intergovernmental Agreement ("Agreement") by and between the County of <br />Boulder, a body politic and corporate of the State of Colorado (hereinafter referred to as the <br />"County") and the City of Louisville, a Colorado home rule municipal corporation (hereinafter <br />referred to as the "City") (each a "Party" and together, the "Parties") is made effective on the <br />201h day of April 52021. <br />WHEREAS, the Parties desire to resurface that certain segment of Empire Drive/County <br />Road 62 (the "Road Segment") identified by the color red in Exhibit "A," attached hereto and <br />incorporated herein by this reference (the "Project"); and <br />WHEREAS, a two -thousand (2,000) foot stretch of the Road Segment is located within <br />unincorporated Boulder County, and the remainder of the Road Segment is located within the <br />corporate limits of the City of Louisville; and <br />WHEREAS, if the Parties find it more cost effective and time efficient to design, <br />contract, and construct the Project under a single contract than under two separate smaller <br />contracts; and <br />WHEREAS, the Parties wish to set forth in writing the terms and conditions regarding <br />management of, and payment for, the Project, as set forth herein; and <br />WHEREAS, the Parties are authorized pursuant to Section 29-1-201 et seq., C.RS., as <br />amended, to cooperate and contract with one another with respect to functions lawfully <br />authorized to each of the Parties, and the people of the State of Colorado, have encouraged such <br />cooperation in contracting through the adoption of Colorado Constitution Article XIV, Section <br />18(2). <br />NOW THEREFORE, in consideration of the above and the mutual covenants and <br />commitments made herein, the Parties agree as follows: <br />A. PROJECT SCOPE. DESCRIPTION AND RESPONSIBILITIES. <br />1. The City will manage design and construction of the resurfacing, including all bids, <br />contracts, construction inspection and materials testing; and shall provide the County <br />with the opportunity to review the pavement specifications as well as attend <br />construction meetings and changes to scope or pavement design. <br />2. The City shall pay all contractor invoices for construction of the resurfacing and shall <br />invoice the County for reimbursement of costs of all quantities directly related to the <br />Road, not to exceed $85,000. Except as provided in subsection 3, the City will bear <br />all Project costs in excess of $85,000. <br />01 <br />
