AGREEMENT FOR SERVICES BETWEEN THE CITY OF LOUISVILLE AND <br />LOUISVILLE CHAMBER OF COMMERCE <br />THIS AGREEMENT ("Agreement") is made and entered into as of the <br />7tn day of December , 2021, (the "Effective Date"), by and <br />between the City of Louisville, a Colorado home rule municipal corporation, <br />hereinafter referred to as the "City", and the Louisville Chamber of Commerce, <br />Inc., a Colorado nonprofit corporation, hereinafter referred to as the "Chamber". <br />WHEREAS, the fiscal year 2022 budget, which was approved by City <br />Council on November 1, 2021 includes proposed Chamber funding as follows: <br />• $30,000 for business retention services, marketing and promotion activities, <br />and special event support; and <br />• $2,000 for the annual Parade of Lights event sponsorship; and <br />WHEREAS, in consideration of the funding provided to the Chamber, the <br />City Council expects the Chamber to provide certain services to benefit the <br />Louisville business community as specified in this Agreement. <br />NOW THEREFORE, in consideration of the mutual promises set forth <br />below, the parties agree as follows: <br />In consideration of the funding received by the Chamber from the City in <br />fiscal year 2022, and in future fiscal years in which the City provides funding <br />to the Chamber, the Chamber agrees to provide the following services to <br />benefit the Louisville business community. For fiscal year 2023 and each <br />subsequent year, the parties shall review the Chamber's obligations and <br />may adjust them, by mutual written agreement, to reflect the level of funding <br />to be provided by the City to the Chamber in the subsequent year, subject <br />to and in accordance with Sections 4 and 5. <br />• By May 1 each year, produce an annual Business Directory and <br />Community Guide that is direct mailed to approximately 11,000 <br />households and provided to inquiring new residents and coordinate <br />with the City to include City -related information in the publication. <br />• Plan and manage three cornerstone events: Taste of Louisville, Pints <br />in the Park Brew Fest, and Parade of Lights. <br />• Sponsor and manage a Business Expo to introduce the public to both <br />Chamber and non -chamber businesses in Louisville. <br />• Host at least one annual membership meeting, such as the annual <br />awards dinner. <br />• Promote and host two State of the City luncheons/breakfasts with the <br />Mayor. <br />• Conduct a minimum of 10 retention visits with Chamber members <br />each month, in coordination with City staff and/or elected officials. <br />Page 1 of 3 <br />
