<br />Exhibit B shall be on a "lump sum" basis, in accordance with the rates described in Exhibit <br />C, subject to the maximum amount described above. The Contractor will bill the State <br />monthly and the State will pay such bills within 60 days. <br />F. The State reserves the right to determine the quality and adequacy of the work by the <br />Contractor under this contract. The State will notify the Contractor in writing of any <br />deficiency in the work. Upon notice of any deficiency in the work, either: a) by the State; <br />or b) by its own observation; or c) by any other means, the Contractor shall take action as <br />soon as possible but not later than 24 hours after such notice to correct the deficiency and <br />to protect the safety of the traveling public. In the event the Contractor, for any reason, <br />does not or cannot correct the deficiency within 24 hours, the State reserves the right to <br />correct the deficiency and to deduct the actual cost of such work from the subsequent <br />payments to the Contractor, or to bill the Contractor for such work. <br />G. The Contractor will maintain adequate cost records for the work in accordance with <br />acceptable accounting practices to determine the quality and adequacy of the control <br />devices, both operationally and mechanically, to perform their intended function. Said <br />records shall be available for review and audit by the State during normal working hours <br />during the contract period and for 3 years from the date of payment to the Contractor. <br />Upon notice, and upon mutual consent, the parties hereto may change this record <br />requirement. <br />H. The State will, through its Region Transportation Director, monitor this contract. <br />Contractor shall address all correspondence and billings to the Region Transportation <br />Director at: <br /> <br />Karla Harding <br />Region Transportation Director, Region 4 <br />1420 2nd Street <br />Greeley, Colorado 80631 <br />I. Pursuant to Section 42-4-601 (2), C.RS., as amended, the State hereby grants permission to <br />the Contractor to maintain the traffic devices described in Exhibit B as required by the <br />terms of this contract. <br />J. This Contract shall be for a term of Five (5) years. <br />K. This contract shall be effective from the date it is signed by the State Controller or his <br /> <br />4 <br />
